Hotelier Agreement

This Hotelier Agreement ("Agreement") is between Hotaler ("Platform") and the Hotel ("you") and forms a binding part of the Terms of Service.
1. Commission
You agree to pay Hotaler a commission of 8% on the room-revenue total of each confirmed booking received through the Platform.
The commission may be paid by:
- The hotel — deducted from the payout you receive
- The guest — added to the guest's total at checkout, with the hotel receiving the room-rate portion
You may select your default fee-bearer in your account settings. The fee-bearer applies to all bookings made after the change.
2. Payment Schedule
For bookings settled via the Platform's integrated payment processor:
- Funds are released to your connected payment account net of commission
- Release timing follows the payment processor's standard rules (typically 7 days after check-in)
- Refunds reverse the commission proportionally
For manual / off-platform settlements:
- You agree to remit commission monthly within 14 days of receipt of the Platform's commission invoice
3. Honoring Reservations
You agree to:
- Honor all confirmed bookings at the rate and conditions confirmed at booking time
- Not deny check-in or downgrade rooms except in cases of guest fraud or force majeure
- Apply your published cancellation policy consistently to all guests
4. Inventory and Rate Parity
While you are not required to grant rate parity to the Platform's direct booking page, you agree:
- Inventory shown on the Platform must be accurate and current
- Rates and conditions on the Platform may not be deliberately misleading
- You will respond to channel-manager sync events promptly
5. Guest Data
Guest contact information collected through the Platform may be used by you for the operational purpose of the booking (confirmation, check-in, post-stay). You may not use guest data for unrelated marketing without separate consent.
6. Refunds and Chargebacks
You are responsible for refund decisions per your cancellation policy. The Platform will execute refunds upon your instruction subject to the payment processor's rules. Chargeback losses (where the cardholder disputes through their bank) are borne by you.
7. Compliance
You represent that:
- You hold all licenses required to operate (trade license, tourism license, etc.)
- You comply with all applicable tax and consumer-protection laws
- Your VAT/GST handling is correct in your jurisdiction
- You will provide a valid trade license document upon Platform request
8. Suspension
The Platform may suspend your account for:
- Repeated failure to honor bookings
- Material breach of this Agreement
- Fraud or misrepresentation
- Non-payment of commission
9. Termination
Either party may terminate with 30 days' written notice. Upon termination:
- All confirmed bookings prior to termination remain valid and must be honored
- Outstanding commissions become immediately payable
- Platform access ends; data export available for 30 days
10. Liability
Each party is liable only for its own actions. The Platform's aggregate liability under this Agreement is capped at the commissions you paid in the preceding 12 months.
11. Independent Contractors
Nothing in this Agreement creates an employment, partnership, agency, or franchise relationship between the parties.
12. Governing Law
UAE law. Dubai courts. Same as the Terms of Service.
13. Amendments
The Platform may update commercial terms with 30 days' email notice. Continued use of the Platform after the notice period constitutes acceptance of the updated terms.
